1. Acceptance of Terms
Welcome to Byline Travel. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Byline Travel, Inc. (“Byline,” “we,” “us,” or “our”) governing your access to and use of the Byline Travel platform, including our website, mobile applications, and all related services (collectively, the “Service”).
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
2. Definitions
For purposes of these Terms:
- “Service” means the Byline Travel platform, including all features, content, applications, and services offered through our website and mobile applications.
- “User Content” means any content, data, information, text, images, or other materials that you submit, upload, or transmit through the Service, including trip plans, preferences, profile information, and communications.
- “AI-Generated Content” means content, recommendations, itineraries, or other outputs created by artificial intelligence models and algorithms integrated into the Service.
- “Connected Account Data” means data accessed from third-party accounts you voluntarily connect to Byline, including Google (YouTube), Spotify, Facebook, and GitHub.
- “Credits” means the virtual currency used within the Service to access certain features and functionality, which may be provided free of charge or purchased through a subscription plan.
- “Account” means your registered user account with the Service.
- “Third-Party Services” means external services, APIs, and platforms integrated with the Service, including but not limited to flight booking services, hotel search engines, mapping services, and communication platforms.
3. Account Registration and Security
3.1 Account Creation
To access certain features of the Service, you must create an account. You may register using one of our supported OAuth providers (Google, GitHub, Facebook, Apple, Twitter, LinkedIn, or Spotify) or other authentication methods we may offer.
3.2 Account Information
You agree to provide accurate, current, and complete information during registration and to update such information as necessary to maintain its accuracy. You are responsible for all activities that occur under your Account.
3.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your Account. You agree to:
- Immediately notify us of any unauthorized use of your Account or any other breach of security
- Ensure that you log out from your Account at the end of each session
- Not share your account credentials with any third party
We are not liable for any loss or damage arising from your failure to comply with these security obligations.
3.4 Account Restrictions
You may only create one Account unless we expressly permit otherwise. You may not use another user’s Account without permission. Accounts are non-transferable.
4. User Content and Licensing
4.1 Your Content
You retain ownership of all User Content you submit to the Service. However, by submitting User Content, you grant Byline a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with operating, providing, improving, and promoting the Service.
4.2 Responsibility for User Content
You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that:
- You own or have the necessary rights, licenses, consents, and permissions to grant the license in Section 4.1
- Your User Content does not and will not infringe, violate, or misappropriate any third party’s intellectual property rights or other proprietary rights
- Your User Content does not contain any material that is defamatory, obscene, threatening, harassing, or otherwise objectionable
4.3 Content Removal
We reserve the right, but are not obligated, to remove, modify, or refuse to display any User Content that we believe violates these Terms or is otherwise objectionable. We may also remove User Content if required by law or in response to legal process.
4.4 Shared Trips
When you share trips or itineraries with other users, you grant those users permission to view and, if applicable, edit the shared content according to the permissions you set. You are responsible for managing access to your shared content.
5. AI-Generated Content Disclaimer
5.1 Nature of AI Content
The Service uses artificial intelligence, including large language models and machine learning algorithms, to generate trip recommendations, itineraries, hotel scores, travel suggestions, and other content (“AI-Generated Content”).
5.2 No Guarantee of Accuracy
AI-GENERATED CONTENT IS PROVIDED FOR INFORMATIONAL AND PLANNING PURPOSES ONLY. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, RELIABILITY, OR SUITABILITY OF ANY AI-GENERATED CONTENT. AI models may produce outputs that are:
- Inaccurate, outdated, or incomplete
- Biased or reflect limitations in training data
- Not suitable for your specific circumstances or preferences
- Subject to change without notice
5.3 User Responsibility
You acknowledge and agree that:
- You are solely responsible for verifying all AI-Generated Content before relying on it
- You should independently verify all travel recommendations, prices, availability, and booking details
- AI-generated hotel scores, flight comparisons, and other evaluations reflect algorithmic assessments, not guaranteed outcomes
- We are not responsible for any decisions you make based on AI-Generated Content
5.4 Not Professional Advice
AI-Generated Content does not constitute professional travel advice, medical advice, legal advice, or any other type of professional consultation. You should consult with qualified professionals for specific advice related to your travel plans, health, visa requirements, or legal matters.
6. Third-Party Services and Integrations
6.1 Third-Party Service Providers
The Service integrates with various third-party services and APIs, including but not limited to:
- Flight search and booking services (Amadeus, Duffel)
- Hotel and accommodation search services (Google Places)
- Restaurant and dining services (Yelp)
- Activity and experience services (Viator)
- Mapping and location services (Google Maps, Google Routes)
- AI and content generation services (OpenAI, Google Vertex AI)
- Weather and travel information services (OpenWeatherMap)
6.2 Connected Account Services
You may optionally connect third-party accounts to enhance your experience:
- Google (YouTube): Read-only access to your YouTube data to understand your interests for travel recommendations
- Spotify: Access to your listening history, top artists, and saved library to personalize activity recommendations
- Facebook: Access to your page likes to understand your interests
- GitHub: Profile information for authentication
You may disconnect any connected account at any time from your Account Settings. Disconnecting an account will stop further data collection from that service.
6.3 No Control Over Third-Party Services
WE DO NOT OPERATE, CONTROL, OR ENDORSE ANY THIRD-PARTY SERVICES. We are not responsible for:
- The accuracy, availability, or reliability of third-party data or services
- Pricing changes, cancellations, or booking errors from third-party providers
- The quality, safety, or legality of flights, hotels, or other travel services
- Any disputes between you and third-party service providers
6.4 Third-Party Terms
Your use of Third-Party Services may be subject to separate terms and conditions, privacy policies, and fees. You are responsible for reviewing and complying with any applicable third-party terms.
6.5 Your Responsibility for Travel Arrangements
Byline is a trip planning, discovery, and itinerary management platform. We do not sell, book, or provide flights, hotels, car rentals, or other travel services. All bookings are made directly between you and the travel provider of your choosing. You are solely responsible for:
- Selecting travel providers and making your own bookings on their platforms
- Verifying all booking details, prices, and availability before confirming with providers
- Ensuring you meet all travel requirements (passports, visas, vaccinations, etc.)
- Understanding cancellation policies, refund terms, and travel insurance options from each provider
- Managing your bookings, check-ins, and customer service issues directly with providers
6.6 Confirmation Forwarding
The Service allows you to forward booking confirmation emails to Byline for automatic itinerary updates. When you forward a confirmation email, we extract relevant trip details (dates, times, locations, confirmation numbers) solely for the purpose of organizing your itinerary. We do not use this information to make, modify, or cancel any bookings on your behalf.
7. Subscription and Payments
7.1 Free and Paid Plans
The Service offers both free and paid subscription plans. Free accounts receive a limited allocation of Credits upon sign-up and completion of onboarding. Paid subscription plans provide additional Credits and premium features.
7.2 Subscription Tiers
We offer multiple subscription tiers with varying features and Credit allocations. Current tiers and pricing are displayed on our website and may be updated from time to time. By subscribing to a paid plan, you agree to pay the applicable subscription fees.
7.3 Credits
Credits are used to access certain features of the Service, including AI trip generation, hotel scoring, flight searches, and AI chat interactions. Credits have no cash value and are non-transferable. Free Credits may expire after a period of account inactivity. Purchased Credits (included in paid subscriptions) do not expire while your subscription is active.
7.4 Payment Terms
Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. You authorize us to charge your payment method on each billing date. If payment fails, we may suspend your access to premium features until payment is received.
7.5 Cancellation and Refunds
You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. We do not provide refunds for partial subscription periods, unused Credits, or early cancellations. If you cancel, you will retain access to paid features until the end of your billing period.
7.6 Price Changes
We reserve the right to modify subscription pricing at any time. Price changes will not affect your current billing period but will apply to subsequent renewals. We will provide notice of price changes in accordance with applicable law.
7.7 Promotional Codes
We may offer promotional codes that provide bonus Credits or discounts. Promotional codes are subject to specific terms and conditions, expiration dates, and usage limits. We reserve the right to revoke promotional codes if they are obtained or used fraudulently.
8. Intellectual Property Rights
8.1 Byline’s Intellectual Property
The Service and its original content, features, and functionality (excluding User Content) are and will remain the exclusive property of Byline Travel, Inc. and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
8.2 Trademarks
“Byline Travel,” “Byline,” and associated logos are trademarks of Byline Travel, Inc. You may not use these trademarks without our prior written permission.
8.3 Limited License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes. This license does not include any right to:
- Modify, copy, distribute, transmit, display, perform, reproduce, or create derivative works from the Service
- Use any automated system, including robots, spiders, or scrapers, to access the Service
- Reverse engineer, decompile, or disassemble any portion of the Service
- Remove or modify any copyright, trademark, or other proprietary rights notices
8.4 DMCA Compliance
We respect intellectual property rights and respond to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act (DMCA). If you believe your copyright has been infringed, please contact us at info@byline.travel with:
- Identification of the copyrighted work claimed to have been infringed
- Identification of the material that is claimed to be infringing
- Your contact information
- A statement that you have a good faith belief that the use is not authorized
- A statement that the information in the notification is accurate
- Your physical or electronic signature
9. Acceptable Use Policy
9.1 Prohibited Uses
You agree not to use the Service:
- For any unlawful purpose or in violation of any applicable laws or regulations
- To transmit any harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content
- To impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
- To interfere with or disrupt the Service or servers or networks connected to the Service
- To transmit any viruses, malware, or other malicious code
- To collect or harvest any personally identifiable information from the Service
- To use any automated system to access the Service, except as explicitly permitted by us
- To circumvent any security features or access restrictions
- To create multiple accounts for abusive or fraudulent purposes
- To resell, sublicense, or commercialize the Service without our written permission
9.2 Export Controls
You agree to comply with all applicable export and re-export control laws and regulations. You represent that you are not located in a country subject to a U.S. government embargo or designated as a “terrorist supporting” country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
9.3 Enforcement
We reserve the right, but are not obligated, to monitor use of the Service and to investigate and take appropriate action against anyone who violates these Terms, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.
10. Privacy and Data Processing
10.1 Privacy Policy
Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.
10.2 Data Collection
The Service collects various types of information, including:
- Account information (name, email, OAuth profile data)
- Travel preferences and profile data
- Trip plans, itineraries, and reservations
- Connected account data (YouTube subscriptions and activity, Spotify listening history, Facebook likes)
- Usage data and analytics
- Device and browser information
- Location data (with your permission)
10.3 Data Use
We use your data to:
- Provide, maintain, and improve the Service
- Personalize your experience and provide AI-Generated Content
- Process payments and manage subscriptions
- Send administrative messages and updates
- Analyze usage patterns and develop new features
- Comply with legal obligations
10.4 Data Rights
Depending on your location, you may have certain rights regarding your personal data, including the right to access, correct, delete, or export your data. To exercise these rights, please contact us at info@byline.travel.
10.5 Data Retention
We retain your data for as long as your account is active or as needed to provide the Service. Connected account data is deleted when you disconnect the account or delete your Byline account. Personal data is deleted within 30 days of account deletion.
10.6 Google API Services Compliance
Byline Travel’s use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. In particular:
- We only use Google user data (including YouTube data accessed via the
youtube.readonlyscope) to provide or improve user-facing features that are prominent in the Byline Travel application - We do not transfer Google user data to third parties except to provide or improve user-facing features, for security purposes, or to comply with applicable law
- We do not use Google user data for serving advertisements, retargeting, personalized advertising, or interest-based advertising
- We do not use Google user data to train artificial intelligence or machine learning models
- We do not sell Google user data to data brokers or information resellers
- We do not allow humans to read Google user data unless the user has given affirmative consent, it is necessary for security purposes, or it is required by applicable law
11. Disclaimers and Limitations of Liability
11.1 No Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, we do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- The results obtained from using the Service will be accurate or reliable
- Any errors in the Service will be corrected
- AI-Generated Content will meet your requirements or expectations
- Third-Party Services will be available or function as expected
11.2 Travel Service Disclaimers
BYLINE IS NOT A TRAVEL AGENCY, TOUR OPERATOR, BOOKING SERVICE, OR METASEARCH ENGINE. Byline is a trip planning and itinerary management platform. We do not:
- Own, operate, or control any flights, hotels, transportation, or other travel services
- Sell, resell, or facilitate the purchase of any travel product or service
- Make reservations or bookings on your behalf
- Process payments for travel services
- Act as a merchant of record for any travel transaction
- Guarantee the accuracy of prices, availability, or service quality
- Assume responsibility for travel disruptions, cancellations, delays, or changes
- Provide travel insurance or assume any liability for your travel
All travel bookings are made directly between you and third-party providers of your choosing. Byline provides AI-powered planning tools, recommendations, and itinerary organization — the actual purchase of travel services is your responsibility and occurs entirely outside the Byline platform.
11.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BYLINE TRAVEL, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Without limiting the foregoing, we shall not be liable for:
- Errors, inaccuracies, or omissions in AI-Generated Content
- Travel disruptions, missed flights, cancelled reservations, or other travel-related losses
- Price increases, currency fluctuations, or errors from third-party providers
- Loss or theft of personal property during travel
- Personal injury, illness, or death occurring during travel
- Visa denials, entry refusals, or immigration issues
- Weather events, natural disasters, or other force majeure events
- Actions or omissions of Third-Party Service providers
11.4 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100).
11.5 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Byline Travel, Inc., its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your User Content or any content you submit to the Service
- Your violation of any rights of another party, including intellectual property rights
- Your violation of any applicable law or regulation
- Any travel-related decisions you make based on the Service
- Any dispute between you and a Third-Party Service provider
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of these claims.
13. Termination and Suspension
13.1 Termination by You
You may terminate your account at any time through Settings → Account → Delete Account, or by contacting us at info@byline.travel. Upon termination, your right to use the Service will immediately cease.
13.2 Termination by Us
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including if:
- You violate these Terms
- Your use of the Service poses a security or legal risk
- You engage in fraudulent or abusive behavior
- Your account has been inactive for an extended period
- We discontinue the Service or any part thereof
13.3 Effect of Termination
Upon termination:
- All licenses and rights granted to you under these Terms will immediately terminate
- You must cease all use of the Service
- We may delete your account and all associated data within 30 days
- Sections of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability
13.4 No Refunds
Termination of your account, whether by you or by us, does not entitle you to any refund of subscription fees or unused Credits.
14. Dispute Resolution
14.1 Informal Resolution
Before filing a formal dispute, you agree to first contact us at info@byline.travel to attempt to resolve any dispute, claim, or controversy informally. We will attempt to resolve the dispute in good faith within 30 days.
14.2 Binding Arbitration
If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association’s rules, rather than in court, except that you may assert claims in small claims court if your claims qualify.
14.3 Class Action Waiver
YOU AND BYLINE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Byline agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.
14.4 Exceptions
Notwithstanding the above, either party may seek equitable relief in court to protect intellectual property rights.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to personal jurisdiction and venue therein.
16. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email (if you have provided one) or by posting a notice on the Service prior to the effective date of the changes. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.
If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies or guidelines posted on the Service, constitute the entire agreement between you and Byline regarding the Service and supersede all prior agreements and understandings.
17.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17.3 Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
17.4 Assignment
You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice or consent. Any attempted assignment in violation of this section shall be void.
17.5 Force Majeure
We shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
17.6 Relationship of Parties
Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between you and Byline. You have no authority to bind Byline in any manner whatsoever.
17.7 Language
These Terms are written in English. If these Terms are translated into another language, the English version shall prevail in the event of any conflict.
